Honey Badger Conclave DAO has holdings in Splinterlands and various other e sports and gaming related assets as well as diversified holdings in assets that are non gaming related in order to provide a more steady stream of cash flow for its unit holders. As of now units are not open for investment or acquisition but will be at a later date when the DAO is ready to issue additional units which will be LP units that receive a portion of the cash flow according to the terms when issued. There are currently 3 members that hold voting rights in the DAO and will likely not exceed 5 voting members in order to keep the DAO nimble and able to execute its DEFI positions. The units issued will be GP voting units and LP voting units which will vote on issues and the GP units which also hold LP units will execute the transactions. Members may be issued GP units in addition to LP units based on there involvement in the DAOs activities and contribution as a % of total assets. The larger the ownership or contribution and involvement compared to the current members the more likely GP units will be issued as only active and significantly invested members will have signatory authority over the accounts. The LP units will have a claim to there share of the treasury and vote on investments via proposals which get executed by the managing member GP unit team. The DAOs purpose is to create reliable cash flow for gamers and increase the value of the assets it holds by actively participating in various games by forming guilds, onboarding players, investment in equity, investment in assets, out of the box funding methods for new players, curation of various gaming related content on hive in addition to other platforms, affiliate marketing, streaming, AI related posting of content on platforms other than HIVE such as steemit, tournament hosting, sub dao owned guilds, liquidity provision on various DEXs, airdrops, asset lotteries and give always on stream and via posts on various platforms. We will also use automation tools in order to take HIVE posts and curate them on 10-20 other similar platforms using the excess amounts as profit as well as to fund some of the promotions, asset purchases for the games we are involved in, and to pay delegators of HP in excess of what other curators are able to pay due to the additional cash flow. The DAO also plans to run various nodes one being a HIVE witness node that will pay out 90% of its profits to voters and supporters by using the 90% of cash flow after expenses to create various lp positions and distribute 75% of the cash flow from the LP positions to reward the supporters as well as 10% will go to any HP delegation on top of the normal curator payouts if they support the witness node. 10% of the cash flow from the witness node will be the DAOs income and be used to purchase gaming assets, investments, etc. The DAO units will always have a transparent NAV updated daily via a daily NAV report showing exactly what is held in the treasury and what the NAV of the DAO units are so that no one needs to guess what the value is as many DAOs do not provide very detailed data. All data for less liquid assets will have footnotes explaining how the value was arrived at and the DAO will maintain read only books for everyone to view on WAVE a accounting program so that prospective members can see not only the NAV but have transparency into the cash flow of the DAO and how the accounting is done. We anticipate the first private round of units to be available for sale sometime within twelve months once the DAO is fully established and cash flowing steadily. Each round of units will have less perks or favorable terms than the previous round as the risk is less the further down the road we get. After the private rounds there will be a public offering on xDAOs DAO exchange where anyone can purchase units at the terms set. The final rounds will be issued under regulation D and A once the DAO has sufficient income and assets to warrant a larger capital raise. The goal of the regulation D and A capital raises will be to raise enough capital to purcahse, renovate and create a digital asset focused apartment building that will cater to gamers in the Philipines for the first building as a proof of concept. The building will have a trading floor, accept all gaming tokens from games supported, have a battle floor in addition to the trading floor so guilds can rent out space to meet as well as battle each other. Apartments will be set up in such a way that caters to digital asset gamers and allow the payment of rent in various digital assets specified. Eventually the buildings goal will to be rent free and will accomplish this by taking a portion of the rent received and creating a trust that utilizes various strategies to produce perpetual cash flow that will take over the rent of each tenant once it can support the buildings rent on 50% of cash flow. The rent will be zero for each tenant once the goal is reached if they meet the criteria which will be playing x amount of y game or other determined at the time. 50% not used to support the rent will be used to increase the trusts income so that the cash flow keeps up with inflation as well as provides the DAO with excess ROI after the rent free goal is reached. The building will have a application process in order to select the best gamers and gaming guilds to live in the building. Only gamers and people who are in the digital asset space will be allowed to live in the building as it will build the community there and eventually if the concept is proven there will be additional buildings that are similar and the buildings will also compete with one another in various games, trading , etc. The second building if we make it there will be in the United States in Puerto Rico and a third likely in another country where gaming and digital assets are popular. This aspect of the project is at least a few years out if everything goes well and the capital and subsequent debt for the buildings can be obtained. Before any members are admitted other than the three current members there will be a detailed white paper published describing the items above in much more detail or to the extent we have the detail at the current time as the buildings are a few years off so the details will not be available in the first copy other than the basic plans. Amended operating agreements and white papers will be released at a later time for these items.
